Terms

Your access to the ProHealthcare CPD websites operating as ProDental CPD and ProCare CPD, hereafter referred to as ProHealthcare CPD, is subject to the following Terms of Use.

These Terms of Use constitute a binding agreement between ProHealthcare CPD and you. Periodically, these Terms of Use may be updated without notice to you. 

It is your responsibility to review these Terms of Use for applicable changes. 

By continuing to use the websites after our posting of any changes to these Terms of Use will constitute your acceptance of those changes.

Should you disagree with any changes, you should immediately cease using the ProHealthcare CPD websites.

Privacy Policy

The personally identifiable information that you provide to ProHealthcare CPD is subject to our Privacy Policy, which is a part of these Terms of Use.

Please take the time to review the information below.

Information you provide voluntarily via our online forms is kept in the strictest confidence and is intended for use by ProHealthcare CPD or ProHealthcare CPD suppliers as appropriate.

It is your responsibility to ensure any information provided by you to ProHealthcare CPD is complete, accurate and up to date.

You will notify ProHealthcare CPD immediately of any changes to your information.

You are responsible for ensuring that the email address you submit to ProHealthcare CPD as part of your registration is valid and that the services software or systems you use to access your email don’t block or filter communications from ProHealthcare CPD.

ProHealthcare CPD is not responsible for the delivery or your receipt of these communications.

ProHealthcare CPD do not share or sell email addresses.

Occasionally, ProHealthcare CPD may provide links to other sites considered to be useful.

Third party sites operate independently of ProHealthcare CPD and have established their own privacy and security policies.

You are encouraged to review the privacy policies of those sites before providing them with your information.

All transaction information passed between ProHealthcare CPD and Sage Pay’s systems is encrypted using 128-bit SSL certificates.

Use of the ProHealthcare CPD Websites

You may not reproduce, duplicate, copy, sell, or otherwise transfer or commercially exploit the ProHealthcare CPD websites (or any portion of it), unless you have ProHealthcare CPD’s express written permission to do so.

You may only use ProHealthcare CPD websites in accordance with these Terms of Use and all applicable laws, rules, and regulations. 

The trademarks, logos and service marks displayed on the websites are the property of ProHealthcare CPD or its licensors.

In the event ProHealthcare CPD believes that you have failed to comply with all terms applicable to your use of ProHealthcare CPD websites, you agree that ProHealthcare CPD has the right, in its sole discretion and without notice, to restrict your access to this or any other ProHealthcare CPD site.

Disclaimers

You acknowledge and agree that: Use of this websites is at your own risk. Any features available through the ProHealthcare CPD websites are provided on an ‘as is’ or ‘as available’ basis.

ProDental CPD will take no responsibility for certificates that are rejected by the GDC where it is found that the member has completed excessive amounts of CPD in a short time frame. Although we currently do not limit the amount of CPD that can be completed, consideration should be given to the GDC recommendations.

The following are the GDC guidelines for completion and submission of CPD:

You can choose when to do CPD within your five year CPD cycle. We recommend that you participate in CPD activity regularly and take account of our recommendations about CPD topics. Ideally you will divide your CPD evenly between each of the five years of the cycle.

As the ProHealthcare CPD websites are provided to you “as available,” you agree that ProHealthcare CPD shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the ProHealthcare CPD websites or of your ability to access it.

ProHealthcare CPD disclaims any warranty that our websites’s operation will be uninterrupted, timely, secure, or error-free.

You assume the full responsibility and risk for any damage to your computer, or other devices, or other consequences that result from your downloading any information, software, or other materials through the ProHealthcare CPD websites. 

ProHealthcare CPD shall have no liability for any damage to your computer or other devices, including loss of data that results from your downloading any such materials.

Limitation of Liability

You acknowledge and agree that: ProHealthcare CPD shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including, but not limited to, damages for lost profits or loss of goodwill, use, or data (even if ProHealthcare CPD has been advised of the possibility of such damages), that result from:

(a) Your use of or inability to use ProHealthcare CPD websites

(b) Access to or alteration of your personally-identifiable information or other information in an unauthorised manner

(c) Representations or conduct of any third party related to the ProHealthcare CPD websites, including our advertisers and business partners

(d) Any other matter relating to the ProHealthcare CPD websites.

Indemnity

You agree to defend, indemnify, and hold ProHealthcare CPD harmless from and against all losses, costs, damages, liabilities, and expenses (including reasonable attorneys’ fees, court costs, and other litigation and arbitration expenses) (“Losses”) related to or arising from:

(a) Negligent acts or omissions or intentional misconduct with respect to your use of the ProHealthcare CPD websites or goods purchased from the ProHealthcare CPD websites

(b) Claims for infringement of the proprietary rights of any third party resulting from your use of the ProHealthcare CPD websites or goods purchased from the ProHealthcare CPD websites in violation of these.

Intellectual Property

The content provided on the ProHealthcare CPD websites, including, but not limited to, text, graphics, images, and logos, is owned by either ProHealthcare CPD or the party that has provided the content to ProHealthcare CPD and is protected by international copyright laws.

ProHealthcare CPD is the sole and exclusive owner of its compilation of this content on our websites. Additionally, this compilation is protected by international copyright laws.

Unpermitted copying of any of this content could lead to copyright infringement.

ProHealthcare CPD, and other logos, slogans, and product and service names used on this site are trademarks owned by ProHealthcare CPD, its subsidiaries, or its affiliates. 

You agree not to display or use such trademarks, in any manner, without the written permission of ProHealthcare CPD. 

Trademarks and trade names of third parties are the property of those third parties, and are used by ProHealthcare CPD subject to license, or subject to the fair use provisions of trademark law.

ProDentalCPD Individual Membership

Memberships to ProHealthcare CPD are for a single user and memberships are not transferable.  Membership to ProHealthcare CPD is by subscription, the first non-refundable payment is taken on the day you complete an ‘Individual Subscription’ form.

Further annual payments are taken on the anniversary of the first payment.

The original cost of the membership is maintained for the lifetime of the membership, provided the payments are successfully collected each year.

It is the responsibility of the member to ensure that the details entered on the ‘Individual Subscription’ form are complete and accurate.

If any details change it is the responsibility of the member to update the information.

The member is responsible for ensuring the payment method is always updated with any change in details (credit card expiry dates, changes of payment method etc.)

ProDental Group Membership

Group memberships are available to practices or laboratories of 5 or more people who are all working at the same premises.

A member of staff will take responsibility of administering the practice/laboratory membership. Membership to ProDental CPD is by subscription, the first non-refundable payment is taken on the day you complete a ‘Group Subscription’ form.

Further annual payments are taken on the anniversary of the first payment.

The original cost of the practice/laboratory membership is maintained for the lifetime of the membership, provided the payments are successfully collected each year.

It is the responsibility of the group administrator to ensure that the details entered on the ‘Group Subscription’ form are complete and accurate.

If any details change it is the responsibility of the group administrator to update the information.

The group administrator is responsible for ensuring the payment method is always updated with any change in details (credit card expiry dates, changes of payment method etc.)

ProCare Group Membership

A Group membership is available to homes or organisations of 10 or more people who are all working for the same organisation.

A member of staff will take responsibility of administering the group membership. Membership to ProCare CPD is by payment for selected courses, the non-refundable payment is taken on the day you complete a ‘Group Subscription’ form.

It is the responsibility of the group administrator to ensure that the details entered on the ‘Group Subscription’ form are complete and accurate.

If any details change it is the responsibility of the group administrator to update the information.

It is the group administrators responsibility to assign the purchased modules to their relevant members.

Bundle Purchases

Bundles are purchased for a one-time payment, no agreement or recurring payments are required.

The fee for purchased bundles is non-refundable.

Bundles are valid for a period of 90 days from the date of purchase, it is your responsibility to complete all of the modules prior to the expiration date.

Following the purchase of a bundle, ProDental members have the option to upgrade your account to an individual membership for a period of 90 days. The first year’s membership will be discounted by the value of the purchased bundle up to the cost of the individual membership. A minimal £5 upgrade fee will be applied where the cost of the bundles is equal to or exceeds the cost of the membership. After the 90 days have expired the full individual membership fee will be charged.

Passwords

On completion of your registration as a member of the ProHealthcare CPD websites, we consider you a member of the ProHealthcare CPD community. 

Your membership and password are only valid for your own personal, non-commercial use of ProHealthcare CPD. 

During the registration process the email address you enter will become your username you will specify your own password.

All activities that occur under your username or password are your responsibility it is important that you keep your user ID and password safe.

Please notify us immediately if you think someone has used your password or registration without your authority.

You may not transfer or make available your account name and password to others, including without limitation your partners, spouses or co-workers.

Any distribution by you of your account name and password may result in cancellation of your subscription without refund and in additional charges based on unauthorised use.

Term and Termination

These Terms of Use are effective upon your acceptance signified by your using the site and shall continue until terminated in accordance with this section. 

You may terminate your membership at any time as described in Cancelling a Membership Subscription in these terms.

ProHealthcare CPD reserves the right to terminate its relationship with you at any time. 

Upon termination of these Terms of Use, you shall immediately cease accessing the ProHealthcare CPD websites except to the extent necessary to effectuate any of your obligations or rights arising under any orders that are intended to continue beyond such termination.

In the event collections proceedings or legal action become necessary, you agree to pay all of ProHealthcare CPD costs and fees incurred, including legal fees.

From time to time ProHealthcare CPD may, at its discretion, offer limited special offers or free trials of some products or services.

Any offers are for the use of the intended member only.

Any sharing or abuse of any offer may result in you becoming responsible for the cost of lost revenue incurred by ProHealthcare CPD as a result of your action.

Automatic Renewal Program Benefits (ProDental members only)

Your membership fee is for the life of your membership, it will not increase as long as the subscription payments are collected successfully.

If you are participating in the ProHealthcare CPD Automatic Renewal Program, ProHealthcare CPD will automatically renew your subscription on the anniversary of your purchase to ensure that there is no interruption of your member privileges.

ProHealthcare CPD will charge your chosen payment method at the original subscription rate using the payment information we have on file for your account.

Unless you provide ProHealthcare CPD with adequate prior notice that you are cancelling your subscription, we may renew your subscription without further authorisation from you.

Renewals

ProDental CPD subscriptions are renewed automatically on the anniversary of the first non-refundable payment to ProHealthcare CPD.

7 days before the subscription anniversary, an email advising the individual member or group administrator of the intention to collect payment will be sent to the email address used when you initially signed up for membership.

It is the responsibility of the practice to ensure that the administrator details are updated whenever there is a change of personnel.

Payment will be taken using the same payment method used when you made the first payment.

Membership Subscriptions

Prices for all subscriptions and payments include VAT but exclude telecommunication charges.

If you purchase subscription services, you agree to pay, using a valid credit card (or other form of payment that we may accept from time to time), the applicable fees and taxes (if any) set forth on the ProHealthcare CPD websites.

ProHealthcare CPD reserve the right, upon prior notice to you, to change the amount of any fees and to institute new fees, effective at the end of your current subscription period.

All authorised charges will be billed to your designated credit card account (or other payment method) on the terms described in the specific offer.

If payment cannot be charged to your chosen payment method or your payment is returned to ProHealthcare CPD for any reason, ProHealthcare CPD reserves the right to either suspend or terminate your access to the unpaid-for subscription services.

If payment cannot be collected on the agreement date, the membership will be deactivated until the payment details are updated.

Attempts to debit payments will be made within 24 hours. A further payment will be taken every consecutive day for each outstanding payment (for each scheduled payment that has been missed).

Cancelling a Membership Subscription

To cancel a SagePay or PayPal subscription, (ProDental CPD members only) click on the Cancel Membership button in the My Details section of your account when you are signed in.

If you have a WorldPay agreement you should cancel your WorldPay agreement or send notification that you wish to cancel by email to info@prohealthcarecpd.com at least 2 working days prior to the renewal date. ProHealthcare CPD will forward you the details of how to cancel the WorldPay payment.

You should use the WorldPay username and password that you entered at the time you created the membership, this information was email to you by WorldPay when you made your first payment.

Office hours are Mon-Fri 9AM-5PM (UK time).

If you have a dispute with ProHealthcare CPD relating to the websites or the Automatic Renewal Programme, you may cancel the Automatic Renewal Programme.

The cancellation of Automatic Renewal Programme is your only remedy with respect to any such dispute that you may have with us.

Any such termination or cancellation is subject to the no-refund policy described.

Please remember that if we determine, in our sole discretion, that you are not complying with the Terms of Use, we reserve the right to terminate your subscription services.

Upon any termination or cancellation of your subscription services, we may immediately deactivate or delete your ProHealthcare CPD membership and all related information and/or bar any further access by you to the ProHealthcare CPD websites.  

Refund Policy

The first year’s ProDental CPD subscription payment is non-refundable.

Payments for bundles are non-refundable.

No partial months will be refunded.

A refund will not be made if a module is completed (in part or full) following the renewal date and up to the next renewal date.

You will continue to have access until the end of your current subscription term.

If you feel you are entitled to a refund you should make a request by emailing info@prohealthcarecpd.com. The ProHealthcare CPD team will consider your request. You will be informed by email of the findings and if you are entitled to a refund, this will be made to your method of payment. ProHealthcare CPD aim to complete this within 7 working days (UK) of your application.

If notice of the intention to collect a ProDental CPD payment was sent to the subscriber, and the subscriber did not cancel the membership or future payment. ProHealthcare CPD reserves the right to apply an administration fee of £20 for processing any relevant refund.

All requests for refunds must be submitted by the account holder and by e-mail. ProHealthcare CPD cannot accept requests by telephone, post, text or via social media.
